These Terms of Use (“Terms”) govern your access to and use of the websites, portals, applications and related services provided by Alvin Technologies, Ltd. (“Alvin,” “we,” “us” or “our”), including alvin.finance, portal.alvin.finance and other Alvin-owned digital services.
By accessing or using our services, creating an account, accepting an invitation, submitting information or continuing to use an Alvin workspace, you agree to these Terms.
If you use the services on behalf of an organization, you represent that you are authorized to accept these Terms on that organization’s behalf. In that case, references to “you” include both you and the organization you represent.

Alvin Technologies, Ltd. is a Delaware company with its registered address at 251 Little Falls Drive, Wilmington, Delaware 19808, United States.

2. Services
Alvin provides software and related operational services for businesses, governments, institutions and other organizations.
The specific functionality and services available to you may depend on your account, organization, workspace or separate agreement with Alvin.
We may add, change, suspend or discontinue features or services from time to time. Any specific commitments relating to a paid engagement will be set out in the applicable quote, service order, statement of work or customer agreement.
3. Additional agreements
These Terms govern general access to and use of Alvin’s public websites and digital services.
Paid services may be subject to additional terms contained in a quote, service order, statement of work, invoice, subscription agreement, Data Processing Addendum or other written agreement.
Where a signed written agreement conflicts with these Terms, the signed written agreement will control for the conflicting provision.
4. Accounts and access
You may need an account to use certain services.
You agree to provide accurate and current information, maintain the confidentiality of your account credentials and use only accounts and workspaces that you are authorized to access.
You are responsible for activity conducted through your account, except to the extent that the activity results directly from Alvin’s failure to apply reasonable security measures.
You must promptly notify us if you become aware of unauthorized access, credential compromise or another suspected security incident affecting your account.
Alvin may suspend, restrict or reset access where we reasonably believe an account has been compromised, misused or used unlawfully or where continued access could create a material security, legal or operational risk.
5. Organization workspaces
Some services are provided through workspaces managed by a customer or other organization.
The relevant organization may determine who may access the workspace, what roles and permissions apply, what information is submitted and which actions users may perform.
If your access is provided through an organization, information about your account, activity and use of the workspace may be available to authorized administrators of that organization.
Your organization may change or revoke your access at any time.
6. Acceptable use
You may use the services only for lawful and authorized business, institutional, government or organizational purposes.
You must not access the services without authorization, bypass security or permission controls, interfere with service operation, introduce malicious code or attempt to gain access to information or systems that you are not authorized to use.
You must not impersonate another person or organization, submit false or unlawfully obtained information, misuse personal information, use the services to facilitate fraud or other unlawful activity or send spam or unauthorized communications.
You must not scrape, copy, reverse engineer, reproduce, resell, sublicense or commercially exploit the services except where Alvin has expressly permitted the activity in writing or applicable law requires otherwise.
Security research must be conducted in accordance with Alvin’s Responsible Disclosure Policy.
7. Your responsibilities
You are responsible for ensuring that information, documents and instructions you submit are accurate, complete, current and authorized.
Where you submit information about another person, you represent that you have the necessary authority, permission or lawful basis to do so.
You are responsible for reviewing information and outputs made available through the services before relying on them or authorizing further action.
You are also responsible for ensuring that your employees, contractors, representatives and other users comply with these Terms.
8. Fees and paid services
Fees, payment requirements, taxes, refund conditions and other commercial terms relating to paid services will be set out in the applicable quote, invoice, service order or customer agreement.
You agree to pay amounts properly due under those documents.
Banking, payment, foreign-exchange, travel and other regulated or specialist services may be provided through appropriately licensed third parties.
Alvin Technologies is not a bank and does not provide lending, investment, deposit-taking, insurance or regulated financial-advisory services.
9. Third-party services
The services may connect with, rely on or facilitate access to third-party products, platforms, suppliers or service providers.
Third-party services may be subject to their own terms, fees, availability and privacy policies.
Alvin is not responsible for the independent systems, decisions, conduct or performance of third parties that we do not control.
Any specific responsibility Alvin accepts in relation to a third-party service will be stated in the applicable customer agreement or service order.
10. Information and content you submit
You retain ownership of information, documents, messages and other content that you submit to Alvin.
You grant Alvin a limited, non-exclusive right to host, copy, transmit, process, display and share that content only as reasonably necessary to provide, support, secure and administer the services, comply with law and perform our agreements with you.
You represent that you have the right to submit the content and that its submission and use in accordance with these Terms will not violate applicable law, contract or third-party rights.
Alvin will not use personal information or confidential customer information submitted through customer workspaces to train general-purpose artificial intelligence models without express authorization.
11. Privacy and security
Alvin’s Privacy Policy explains how we collect, use, share, store and protect personal information.
You are responsible for maintaining the security of your devices, credentials and authorized users.
Alvin uses reasonable administrative, technical and organizational measures designed to protect its services and information processed through them. No system can be guaranteed to be completely secure.
Suspected security vulnerabilities should be reported in accordance with Alvin’s Responsible Disclosure Policy.
12. Intellectual property
Alvin and its licensors own all rights, title and interest in the services and related software, interfaces, designs, workflows, documentation, trademarks, logos, content and technology, excluding content submitted by customers and users.
These Terms do not transfer ownership of any Alvin intellectual property to you.
You may use the services only for the purposes permitted by these Terms and any applicable written agreement.
13. Feedback
If you provide suggestions, ideas or feedback about the services, Alvin may use them without restriction or compensation unless otherwise agreed in writing.
Providing feedback does not give Alvin ownership of your confidential information or customer content.
14. Service availability
Alvin aims to provide reliable services but does not guarantee uninterrupted, error-free or continuously available operation.
The services may occasionally be unavailable because of maintenance, upgrades, internet or telecommunications disruption, third-party failure, security events, government action or other circumstances outside Alvin’s reasonable control.
Where a signed customer agreement includes specific availability or support commitments, that agreement will govern those commitments.
15. Suspension and termination
Alvin may suspend or terminate access where you breach these Terms, fail to pay amounts due, misuse the services, create a material security or legal risk or use the services in a manner that could harm Alvin, another customer or another person.
Your organization may also terminate or revoke your access to an organization-managed workspace.
You may stop using the services at any time, subject to obligations under any active paid agreement.
Termination does not affect rights, obligations, fees or liabilities that arose before termination. Provisions that by their nature should survive termination will remain in effect.
16. Disclaimers
To the maximum extent permitted by law, the services are provided on an “as is” and “as available” basis.
Alvin disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation, except where a warranty cannot legally be excluded or is expressly provided in a signed agreement.
Alvin does not guarantee the accuracy or completeness of information submitted by users, customers, suppliers or other third parties.
Alvin does not guarantee that the services will satisfy every customer requirement unless that requirement is expressly included in a signed agreement.
17. Limitation of liability
To the maximum extent permitted by law, Alvin will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages or for loss of profits, revenue, goodwill, anticipated savings or business opportunity arising from or relating to the services.
Except where a signed agreement provides otherwise, Alvin’s total aggregate liability arising from or relating to the services will not exceed the amount paid to Alvin for the specific service giving rise to the claim during the three months preceding the event giving rise to liability.
These limitations do not apply to fraud, willful misconduct or liability that cannot legally be limited.
Some jurisdictions do not permit certain exclusions or limitations. In those jurisdictions, the relevant exclusion or limitation will apply only to the maximum extent permitted by law.
18. Indemnity
You agree to indemnify and hold harmless Alvin, its directors, officers, employees, contractors and affiliates from third-party claims, liabilities, damages, costs and reasonable legal expenses arising from your breach of these Terms, unlawful use of the services, unauthorized submission of information or violation of another person’s rights.
This indemnity does not apply to the extent a claim results directly from Alvin’s fraud, willful misconduct or breach of its own obligations.
19. Force majeure
Alvin will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, war, civil unrest, public-health emergencies, government action, travel restrictions, supplier failures, internet or telecommunications outages, infrastructure failures, payment-network disruption or significant security incidents outside Alvin’s reasonable control.
20. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
Before starting formal proceedings, you and Alvin will seek to resolve any dispute in good faith through written notice and reasonable discussion.
If a dispute is not resolved informally, the parties agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, unless a signed written agreement provides for another dispute-resolution process.
21. Changes to these Terms
Alvin may update these Terms from time to time.
The updated version will state its effective date. Where changes are material, Alvin may provide notice through the website, an Alvin workspace, email or another appropriate channel.
Continued use of the services after updated Terms take effect constitutes acceptance of the updated Terms.
Changes to these public Terms will not retroactively modify a signed customer agreement unless agreed in writing or required by law.
22. Miscellaneous
These Terms do not create a partnership, joint venture, employment, fiduciary or agency relationship except where expressly agreed in writing.
You may not assign these Terms without Alvin’s prior written consent. Alvin may assign them in connection with a merger, acquisition, financing, restructuring, sale of assets or transfer of the relevant business.
If any provision is found unenforceable, the remaining provisions will continue in effect.
A failure to enforce any provision is not a waiver.
Headings are included for convenience and do not affect interpretation.
